Welcome to neighbZ! We exist because local communities need a more positive, uplifting, faith-based alternative to "big tech" social media. We own, operate, and manage a Christian social platform that actively promotes the teachings in the Holy Bible and beliefs of our Lord and Savior Jesus Christ.

These Business Services Terms (the “Business Terms”), along with the End User Terms & Conditions (the “Terms”), regulate your rights and obligations regarding the use of neighbZ's Business Services. This applies if your ordinary place of residence or business establishment is in the United States. Note: The neighbZ Services are only available in the United States of America. Any capitalized words or defined terms not specified in these Business Terms have meanings described in the End User Terms & Conditions.

“Business Services” encompass services and features tailored for business purposes, such as a claimed Business Page, Promotions, Discounts, Offers, Loyalty Rewards, neighbZ Ads, and other listed services. Some Business Services may be subject to Supplemental Terms, with the Supplemental Terms prevailing in case of inconsistency with these Business Terms.

By utilizing neighbZ's Business Services, you affirm that you have read, comprehended, and agreed to abide by these Business Terms, which, in conjunction with the underlying End User Terms & Conditions, constitute a legally binding agreement. If you are accepting these Business Terms on behalf of a company, organization, or other legal entity (a “Business”), you assert that you are authorized to do so and have the authority to bind the entity to these Business Terms. In such a case, the terms "you" and "your" refer to the entity. If you disagree with these Business Terms or lack the authorization and authority mentioned above, you are not permitted to use the Business Services.

a. Eligibility. Business Services are accessible to End Users meeting the eligibility criteria in the End User Terms & Conditions and any specific eligibility requirements for the relevant Business Service. We retain the right to deny your access to any Business Service at any time, for any reason, without liability.

b. Termination of Business Services. In addition to the provisions of Section 15(a) (Term and Termination) in the End User Terms & Conditions, you can terminate these Business Terms by deactivating your Business Page and discontinuing Business Services use. We may suspend, terminate, delete, or deactivate your Account and/or Business Page at any time, for any reason, without liability. Some Business Services may have termination or cancellation terms in Supplemental Terms, with the Supplemental Terms prevailing.

c. Availability of Business Services. We reserve the right to modify or discontinue any Business Service's availability at our own discretion without liability. We will notify you of material modifications as required by law.

d. Your Obligations. By using Business Services, you confirm ongoing compliance with certain conditions, including your authority to act on behalf of the Business, adherence to Applicable Laws, and responsible use of End User Content. You are also responsible for data usage notices and consents related to End User Content. neighbZ determines the size, placement, and positioning of End User Content and may reject, disable, or remove it for any reason.

e. Verification of Businesses. Some Business Services may require neighbZ to verify your Business. You agree to provide accurate information for verification purposes, acknowledging that failure may result in limitations or termination of your Account.

f. Interactions and Transactions with End Users. Your use of Business Services is subject to the Terms and Conditions. You are responsible for your actions on neighbZ, and interactions with End Users may impact your Business's reputation. neighbZ is not a party to transactions or disputes between End Users.

g. Data Protection. You are solely responsible for ensuring compliance with Applicable Laws regarding the collection, use, and disclosure of Personal Information. You agree to provide notices and obtain consents as required, implement safeguards, and cooperate with neighbZ in compliance with Applicable Laws.

a. Business Pages. Business Pages on neighbZ can be created and updated based on third-party sources, recommendations, or by claiming a Business Page. After claiming, you can choose visibility settings. You are responsible for your Business Page and Account. If your association with a Business changes, you must unclaim or transfer the Business Page.

b. Business Page Information. neighbZ reserves the right to correct, modify, or license Business Page Information. This information may be public and accessible to search engines. neighbZ may share Business Page Information with partners to promote and present it in various formats.

c. Posts and Messages. Posts or comments from your Business Page are affiliated with and have the same visibility as any End User post. Some replies are visible only to you and the End User. End Users can opt out of messages. You must comply with End Users' choices.

d. Asking for Recommendations or Reviews. You can ask for reviews or recommendations. Ensure truthful, fair, and Christ-like behavior. Artificially inflating or harming a Business's reputation is prohibited. Compliance with Applicable Laws, including anti-SPAM laws, is required.

e. Direct Solicitation. Collecting Personal Information for direct solicitation without permission is prohibited. Respect End Users' choices and avoid unsolicited email advertisements.

f. Trademarks and Endorsements. Do not use neighbZ's name, logo, or trademarks without express written permission. Do not imply sponsorship or endorsement of End User Content.

g. Content. Do not provide prohibited, illegal, immoral, or foul Content. neighbZ may forward requests or claims based on End User Content to your Business for resolution.

h. Your Website. Grant neighbZ a non-exclusive license to display your public Business website on the Services.

The utilization of certain Business Features (“Business Features”) may necessitate payment, which would be on a subscription basis ("Payment"), encompassing applicable taxes. If such services involve specific Supplementary Terms provided by neighbZ and those terms conflict with the Business Terms and Conditions, the Supplementary Terms shall take precedence. You commit to settling all Payments due under these Business Features Terms or any relevant Supplementary Terms. ALL PAYMENTS TO neighbZ ARE FINAL, NON-CANCELABLE, AND NON-REFUNDABLE. Unless stated otherwise, charges will be applied at the time of purchase. When initiating a Payment to neighbZ, you consent to furnish our trusted third-party payment processor with specific information related to your Payment ("Payment Information") for transaction completion. You affirm your commitment to maintaining up-to-date Payment Information. We retain the right to update your Payment method using information from our payment service providers, and you authorize us to continue charging the applicable Payment method following any update to your Payment Information.

neighbZ provides certain optional, special Business Features that grant access or use on a time-limited basis, known as a "Subscription." Subscription fees will be charged at regular intervals based on the specified subscription date presented during checkout, starting from the time of purchase. THE SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH SUBSCRIPTION PERIOD UNLESS AND UNTIL YOU CANCEL. Your Subscription may include a free trial period ("Free Trial"). At the Free Trial's onset, a nominal fee may be charged to verify your accurate Payment Information. Following this, you gain access to the designated Business Features without payment for the specified offer period (subject to any relevant Supplementary Terms). You can cancel a Subscription or Free Trial through the interface of the applicable Business Features or, if unavailable, by contacting us by email help-at-neighbZ.com. Failure to cancel your Free Trial before its conclusion will automatically convert it into a paid Subscription, and you will be charged the applicable Payment for the Subscription.

You and your Business acknowledge that neighbZ may disclose certain proprietary and confidential information, such as aggregated statistics about End User activity, size, and boundaries. You agree (i) to maintain the confidentiality of this information, (ii) not to disclose it to any third party, and (iii) to use it solely as permitted by neighbZ for your internal business purposes (subject always to Section 2(g) - Data Protection of these Business Terms and Conditions). If compelled to disclose this information due to a legal duty or subpoena, you will notify neighbZ in writing before doing so and provide reasonable assistance in maintaining the information's confidentiality.

In addition to, and without limiting the scope of Section 12 (Indemnification) of the End User Terms & Conditions, you agree to indemnify, defend, and hold the neighbZ Entity harmless from any claims, damages, losses, liabilities, and expenses related to (a) your actual or alleged breach of these Business Features Terms; (b) your use of the Business Features or any Content, products, or services provided in connection with the Business Features; or (c) actions related to the Business Features taken by each individual with access to your Account, whether authorized or not.

a. Updates: neighbZ reserves the right to modify these Business Features Terms, the End User Terms & Conditions, and any Supplementary Terms at any time, as outlined in Section 15(e) (Updates) of the End User Terms & Conditions. Your continued use of the Business Features after any such amendment constitutes acceptance and agreement with the new terms. Disagreement with the new terms requires you to unclaim your Business Page and cease using the Business Features.

b. Conflicts: In case of a conflict between these Business Terms & Conditions and the End User Terms & Conditions, these Business Terms & Conditions govern concerning your use of the Business Features. Certain Business Features may be subject to specific Supplementary Terms and additional guidelines or policies. If these Supplementary Terms and guidelines conflict with the Business Features Terms, the additional terms govern regarding your use of those Business Features to the extent of the conflict.

c. Miscellaneous: To the extent permitted by applicable law, the English version of these Business Terms and Conditions is binding, and other translations are for convenience only. If any part of these Business Terms and Conditions is found to be invalid or unenforceable, that specific part shall be void, and the remainder shall remain in full force. Our failure to act in a particular circumstance does not waive our right to act in other circumstances. These Business Terms and Conditions are personal to you, and you may not assign any rights or obligations under these Business Terms and Conditions without our prior written consent. This Agreement is intended solely for the benefit of you and the neighbZ Entity, and not to confer benefits or rights upon any other person. All rights and obligations under these Business Terms and Conditions are freely assignable by us in connection with a merger, acquisition, or sale of assets.

a. United States: If you reside in the United States, this section is applicable and pertains to all disputes between you and neighbZ arising from the Business Features, including neighbZ Ads and its Terms of Service, or any other claims or disputes related to these Business Terms and Conditions ("Business Claims").
